and conditions

All our sales, deliveries, repairs and project planning are subject to these conditions in their entirety, unless they have been modified or supplemented by written agreements. Any delivery restrictions which we ourselves have to enter into vis-à-vis our manufacturers shall pass to the purchaser of our goods and shall be transferred to the latter if the goods are passed on to a third party.

Our quotations are limited in time, either according to the legal regulations or according to the special indications in the quotations themselves. Our quotations are of a confidential nature and may only be made available for inspection to those persons who process our quotations. We reserve the property rights and copyrights to all project studies, drawings and designs.

The prices quoted are for the following means of payment:

• advance payment
• by bank transfer & BESR
• Maestro, Post and credit cards

Prices are ex office workingFlow Wallisellen (pick-up prices), excluding shipping, packaging and insurance. For all shipments of goods we charge packaging, postage or trans-port charges. The acceptance and execution of orders can be made dependent on a guarantee of creditworthiness or an advance payment. In the event of cancellation of orders, the customer will be charged for the costs of our efforts.

We will always endeavor to meet the delivery deadlines we have specified and carefully calculated, even if unforeseeable difficulties arise, but we cannot provide any legal guarantee for this. Possible missed deadlines do not entitle the customer to cancel the order or to claim compensation. If the customer does not specify anything to the contrary on the order, workingFlow GmbH reserves the right to make partial deliveries / invoicing, depending on availability. The delivery is considered to be fulfilled when the goods leave our premises or, in the case of direct deliveries from our suppliers, their premises. Shipping and transport risk shall be borne by the customer in all cases, even if freight or postage paid delivery of the goods is agreed. In the event of breakage or transport damage, the recipient of the goods must immediately make a corresponding reservation with the transport company and notify us in writing of the damage. This also applies if the packaging of the goods does not show any external damage.

The warranty for non-warranted characteristics is excluded to the extent permitted by law, in particular also for the compatibility of the software and hardware sold with software and hardware already existing at the customer's or acquired later by him (Art. 199 OR). Otherwise, we provide a warranty for 24 months from the date of delivery, provided that the operating conditions of the goods have been complied with. The buyer must inspect the goods immediately upon receipt and notify us of any defects without delay. If he fails to do so, our goods shall be deemed free of defects and approved. We only guarantee for defects that are only notified to us later if these were not recognizable earlier during a proper inspection of the goods and were reported immediately after their discovery. In the event of a warranty claim, we may, at our discretion, replace the defective items or compensate for the reduced value of the items not replaced. All further claims are excluded. In particular, the repair or replacement of a product does not lead to an interruption of the warranty / limitation period, likewise consequential damages such as loss of data and installation costs are excluded.

Any disputes arising from or in connection with these GTC and the other agreements between workingFlow GmbH and the customer shall be governed exclusively by Swiss law, excluding the rules of international private law.

The exclusive place of jurisdiction is Zurich.
